[0:00:00] welcome everyone i'm not calling this meeting to order please stand with us uh we led the prayer martial gallagher please remain standing for the pledge of allegiance august would you lead us in the pledge heavenly father we thank you for the day that you've given us lord we pray for our country right now lord as we're undergoing presidential elections lord we know that uh you control everything lord jesus and so we're just asking for your will back to you lord lord we pray that you love bless our meeting today give us wisdom in jesus name amen of the united states of america to the republic for which it stands okay our special meeting today is uh two quick things uh the uh soccer change order but before we do that i'm gonna to flip the agenda just real quick the urban arc agreement is real simple we can talk about that real fast so this is for the monument signs we have a master agreement with them uh to design the signs and so uh the one the next one on the list y'all know we just finished milan and goodman the next one on the list is uh we're planning to put it at uh the northern entrance to the city on getwell just north of state line road and so there we don't have a good location to put the radius the curve sound like we did it malone so this one needs to be more of a straight sign like the one that's on the interstate at star landing but it will be small since it's on get one not the interstate has to be downsized so for that reason they're taking the same design and just downsizing it but they do have to redesign it so we have to enter another individual agreement for them to do that that is factored in the cost those are funded in our booking beautification line so we do have it budgeted but that's all this is good so just did i say that right nick or would you add to that uh yeah it's just a past quarter

[0:02:03] contract and start screening for the thousand dollars discussion to make it smaller well i asked the same question that's a great question and uh what i was told is that um the uh like wind resistant engineering wind resistance and things like that are different uh whitney i know you talked to uh ryan also but the way i understand it is even though it's the same look uh everything is different like the height and then the they have to check like the wind resistance and all the dimensions to make sure it's structurally sound and all that so that's the best that's the best way right it's not just urban art that they have to include into it's not just taking it and scaling it down from an architectural standpoint they're having a higher end a structural engineer to downsize it everything from the footings the depth the rebar uh and like he said the wind resistance and things like that we were designed i know just but i again i have my first just like my first reaction it's the same sign but then again like whitney said it's not as that simple you do have to do all the things you know from the engineering standpoint but we can quiz them more if you want the only thing is uh that's that's kind of um who we're in agreement with the master agreement is with them and that's who's gonna design all the other ones and i would say it's up to seven thousand he doesn't think it's going to be that amount because i quizzed him as doesn't think it's going well be that amount he thinks it'll be less he wants to put a cap on it which is what they normally do in our task orders uh

[0:04:05] and we still have some contingency money in our existing contract that may make up even more of it um but they wanted to get it in place so you know they need to move forward with the design what kind of government i mean we're doing this we've decided this is what we want to do well it's not and in all fairness it's not ever too late to fill out if we ever don't think that what the charge is fair uh we can definitely bring them back and get them to explain that but i think what we've made a great point is it's up to this amount so the way i understand it it's the same cost per uh for their hour of work as they have everything else it's just this is uh you know it's a separate um agreement since it is specifically for that sign it has to be adjusted but at any time if you know if we want to quiz them about you know what they charge us you know for their services i mean that's that's a fair question for the board i want to do that we'll definitely we can put that on an agenda and ask that question um but if it's not a major difference what i would advocate is that i mean they have done an incredible job i mean they're they're designed it's been incredible so you really don't want to you know you don't want to change horses you know in the middle of the battle kind of like unless there's something bad wrong i don't think there's anything wrong with the pricing do you whitney standard across the board but in the future if you want to you know ask them about the pricing or or at any time you know get someone else to estimate that's i mean it's obviously fair fair for the board to do that they don't have to design their let's just say design yeah yeah what um what we did is we had two designs done like we had the the strength design done for the interstate because it's tilted towards the northbound traffic and then uh we love the uh what they call radius design yeah the one that's

[0:06:08] down here and the one that's at malone and goodman because it just it it circles the corner like that and uh so so they did two designs and then this one is just a kind of an offshoot of the first design since it's small because if you know if you put it on get well you know you don't have to have near the size that you have on the interstate because the distance of visibility um and then the uh so having this one done i don't know whitney i don't know a reason that we'd have to do this again right no i mean you know in fairness we looked at a radius sign for the intersection of gateway on salon road and all the corners were just a little jumbled uh with utilities and blocking views of like a new c-store there so it just wasn't conducive to that site our thought is to use those two we already have standard actually the big one would be in use no more it would be the radius size as a standard throughout which sort of design this one was just kind of its own issue with its own issues so we did have to scale it down but after this our intention is to use one of those two models for everything else so we wouldn't have redesigned this and uh the other thing just and i should have updated everybody about this but the other thing is with all the construction that's planned like uh highway 51 uh i-55 and church road there's gonna be eventually the interchange is gonna be reworked and then even at 51 51 is going to have to be widened there uh at star landing so we have decided that we're going to put some of those on hold because we don't want to build it you know and then have to take it down obviously so the next there's only one more that we're planning on doing right now and what we try to do is take the most uh high volume traffic entrances and so stay on get well is obviously the next one you know so then the next one we believe is church road uh on the eastern entrance um the

[0:08:12] alabama south african church a large amount of large amount of traffic right there so we can put the same sign here resized there as well so after we do the one at state line and one there were probably just my recommendation is we just kind of chill out on it for a little bit and uh wait and see you know how the developments go the infrastructure changes before we've had any others but i think we've done a good job you know hitting you know we don't want to have too many of them but we've done a good job of in our key entrances you know having some visibility and it's uh haven't had a lot of positive feedback i know whitney has haven't you whitney and i know personally i've had a ton of feedback from our citizens they just love the the message it sends when you're in our city it's just a it's a beautiful thing just you know it shows a lot of pride in our city the long way to tell you that we're going to chill on the other ones uh so this design and state line and also at church you know we'll use the same design and we'll you know kind of sit tight for a while okay is there any other discussion hearing none roll call please yes i am i didn't hear my name sorry yes yes okay that motion carries the next the next item today and will be our last item is the soccer change order uh mr dan cordell is going to walk us through you know kind of what's going on since our last meeting where i updated the board we did meet with the contractor and we explained our concerns he uh also explained what has happened along the process and so there is more information that does uh i don't i don't know that i've changed my stance on it i still

[0:10:16] have to have concerns but it does you know just trying to be fair and find out you know hey what what's what really is fair um i do have some different feelings about it after listening to him listening to dan and talking to nick about it so dan if you're walking walk the board through kind of what you walk me through and then we'll uh just open up the floor for discussion thank you sorry i'm the reason y'all have to be here today but clearly they moved me to the back but it's the easy one um the sod at this time of year is the only option we have to play as we discussed in the spring we had a good meeting with mr murphy i think he explained uh more detail that i did not have based off this time because they don't reflect every issue they have with me until there's an issue but and i know y'all hear this a lot or i've heard it due to cozy one of the excuses and he didn't want to use that excuse he said that but he had several suppliers that had used that as an excuse to him whether it was true or not it did delay him in some of his deliveries which everybody's asking why that impacts grass but it was a critical path item there was things that had to happen be in place before we could even get to the saddle meaning the pads had to be finished there had to be a way to irrigate them all that required equipment from fly home whales things like that um and some of those had been sitting and could not operate until even to the standpoint of energy responding to the hurricane that came through delayed power out there which is not our fault but it was reflected to him so when you bring down and get to the bottom line of the contract the kind any contract clearly identifies what's allowed as

[0:12:18] a valid excuse valid valid reason abnormal weather conditions which i had discussed with young which i do think played a significant part uh pandemics fall into that as well um so his first response was he didn't want to go to litigation he wanted to work it out he wants to figure out what is good for both parties um and we can't eat the whole thing because in the end we are going to be receiving an asset or a benefit in the end product we're going to pay for it but we're gonna get it um so this change order basically results in if it's a line item unit price job so his breeding uh every item has the cost of that work but also has his markup profit tax everything in it so if you agree to when he eliminates that item he's removing everything in the item including any profit he had any potential profit he had in it but it's not fair uh and then in the new work we had already west nine already gotten direct prices from the sod people uh he basically was actually below the direct price what we could buy the sod for direct ourselves he's reflecting that as a straight cost and the installation had a straight cost no markup no profit no overhead on it from his end so he's eating on that end probably 25 000 i want to say um i don't know what he had in his freaking itself but if you said ten percent you're five there so from his standpoint he's giving in what he has in the job to get this done now the reason it was important for us to do it as soon as we can is is he's ready uh the side is there he's wanting to start moving uh the material they gotta cut it get it shipped here he starts that this week then he should be installed inside next week

[0:14:20] in the fields he's already mixed people in that's not every field because it's going to progress on but his schedule he presented us a schedule uh worst case he's going to be completely done with all these soda issues where it can be watered maintained by october 15. so that was the need for the the timeliness of this changeover i didn't want to expose us for him uh if it is a worse condition than what i think so what i'm asking for and we're not asking for time because days are taking the work away that it's going to take some time to do we're adding work that in all honesty probably take a little bit less time as far as maintaining and whatnot so the time doesn't change um but it results in a net change of 171 633.83 as an increase um it is steel and he brought this up we're still significantly below the next low bidder that we had and i think this came up at some point but roughly he left about a half a million dollars on this side project on the table to the next bidder um that doesn't impact this just so you can have an understanding of the difference in where we were at if we went to the second low or had some issue and most of them were kind of in that range i want to say anywhere from a half million to three quarters of a million was the next tier group at big so we're still way below that i think below our original budget and i do think we're getting an improved asset or product in the end what's the additional cost it's 171 633.53 the the cost of the sod is 221 878.13 that's because of the sod and installation of massage with paint and then he's eating and taking out the

[0:16:26] fifty thousand for the spread but then the net increase is a hundred and seventy thousand profit has been removed on both the cost of the side and the uh the application or the installation assignment correct okay is the grasp uh it the grass itself you say now the question is whether it's going to root uh solid um we're still hoping that we get a decent some temperature in this year and some temperature in the spring we should have enough to play on it will improve um but at this point it's the i won't say it's 100 but it's the best shot we've got he won't be removed from his warranty or he'll still be responsible for anything we don't have at the end of the day related tools uh at that time we're going to have to come back to him on his contract or obligations related to it so we could end up with at a point of we still don't have what we want or what we need or what he's under contract for but that would have to be taken up at that point so we'll just capture tournaments until they're drinking but we're not planning on canceling any tournaments right right yeah we're not gonna do anything that does permanent damage to the field but uh but the plan at this point is still yeah what percentage would you give us i'm going to say 80 20. i mean it's weather dependent but if if

[0:18:29] we don't end up with an early winter where temperatures just stay in the low range from now on then we don't have a problem but that's not the typical we typically get some good weather in october and some in early november uh where we'll have something that'll root uh this trucks will still be there it'll have you seen the coast side you still got the route there we just wanted to get into the sub-sand area don't have to do much just a little bit you know why we discussed whatever that percentage is it's the only i mean the screening is not an option at this point so so if you have any chance at all playing the spring this is and that's what you got to do my issue was never that i mean it became clear to me that this is what we got to do but my issue was just you know i just felt like with a you know a contract we had a contract with someone to deliver us soccer completely ready to play on and you know we're not uh not getting that without having to pay for money so that's that's that's what my concern is but then from a contractual standpoint i asked nick about this and nick would you share with the board you know when you start talking about you know liquidated damages for failure uh to perform the contracted result um it is a legitimate excuse with suppliers even though he said himself he didn't want to you know use the code as an excuse um but you know if something did go to court that i mean it would be a legitimate and a good nickname on this we do feel like it would be a legitimate thing that could hurt our chances you know to collect damages because of you did have a legitimate um case that some of his suppliers did not uh perform uh on a timely schedule which affected his kid and that's my i don't i don't like that

[0:20:43] we're having to pay the money but you know i felt like that there could have been you know some compromise here about future lds but after you know what nick has informed me i don't know that we would get lds you know because of uh because the coded issue is a legitimate excuse from a supply chain standpoint i believe that but the reasoning is now i mean especially when you send that energy i guess for me personally i want have liked for them to have been up front and saying hey here's our issues so i mean at this point but if we have further work with them in the future that was our biggest complaint that there was a potential problem out there earlier rather than waiting to the end like this um actually this one is well i mean what we did is took our tourism revenue and we did have a bond to do all the projects this is one that was in that but we do have other projects that like smaller projects that we can forego like we were going to fund and hang the roosted snow which is about a half a million dollars we have that in there we may have to pump the brakes on that so there is there is money just uh we're gonna have to forego some of the other i mean it puts us in a bad situation you know but whatever happens is we're not spreading that we're getting sides so that's the original short term short term that's the key long term it's not a better product but short term it is because you're going to have a better product quicker moving in well i think okay we have a motion to approve the change order of 171 thousand six thirty three and fifty three cents dollar hoops
